01 About Socialmetaminds

Socialmetaminds is a performance marketing agency operating from Kharghar, Navi Mumbai, Maharashtra, India. We provide paid advertising management, performance content production, and conversion funnel development to real estate channel partner firms and premium local businesses in Vashi, Belapur, Kharghar, and across Navi Mumbai.

These Terms & Conditions ("Terms") constitute a legally binding agreement between Socialmetaminds ("we," "us," "our") and any individual, business, or entity ("Client," "you") that engages our services.

By signing an engagement agreement, making a payment, or verbally confirming an engagement, you accept these Terms in full.

02 Scope of Services

Services provided by Socialmetaminds include, but are not limited to:

• Meta Ads management (Facebook & Instagram campaigns)
• Google Ads management (Search, Display, Performance Max)
• Performance content production (ad creatives, scripts, video editing)
• Conversion funnel setup (landing pages, lead qualification systems)
• Strategy, analytics, and monthly reporting

The specific deliverables, timelines, and scope for each client are defined in a separate Scope of Work (SOW) document provided at the time of onboarding. Any work outside the agreed scope is subject to a separate quote and written approval.

Socialmetaminds reserves the right to decline any project, campaign, or client request that conflicts with our ethical standards, platform policies, or capacity.

03 Payment Terms

The following payment structure governs all engagements:

• Retainer: Monthly service fees are billed in advance on the 1st of each billing cycle. Work commences only upon receipt of payment.
• Ad Spend: Client ad budgets (paid directly to Meta or Google) are entirely separate from our fees. Socialmetaminds does not hold or manage client ad budgets.
• Late Payments: Payments not received within 5 business days of the due date may result in a pause of services. A late fee of 2% per month may be applied on outstanding amounts.
• Taxes: All fees are exclusive of GST (Goods and Services Tax) applicable under Indian law. GST will be added at the prevailing rate at the time of invoicing.
• Payment Methods: Bank transfer, UPI, or any mutually agreed gateway. All payments must be made in Indian Rupees (INR) unless stated otherwise in writing.

04 No Guarantee of Results

While we bring proven systems, extensive experience across 20+ brands, and a performance-oriented approach to every engagement, Socialmetaminds does not guarantee specific results, revenue milestones, lead volumes, or advertising performance metrics.

Any case studies, projections, or examples shared during sales or onboarding reflect real past performance and are provided for illustrative purposes only. They are not a warranty or promise of similar outcomes for new clients.

Socialmetaminds will always act in the best interests of the client and provide transparent reporting. Underperformance will be communicated proactively with a plan of action — not hidden.

05 Client Responsibilities

A successful engagement requires active collaboration. As a client, you agree to:

• Provide timely access to ad accounts, business managers, assets, and relevant login credentials required to deliver services
• Supply accurate business information, brand guidelines, product details, and any required legal disclosures for ads
• Review and approve creatives, copies, and campaign setups within the agreed turnaround time (typically 48–72 hours). Delays may affect campaign timelines.
• Maintain sufficient ad budget funded in your Meta or Google ad account to run campaigns as planned
• Ensure that your products, services, and business practices comply with applicable laws and platform advertising policies
• Inform Socialmetaminds of any major business changes (offers, pricing, operational shutdowns) that may affect campaigns
• Make payments on time as per the agreed schedule

Failure to meet client responsibilities that results in campaign delays, underperformance, or loss does not constitute grounds for a refund or liability claim against Socialmetaminds.

06 Intellectual Property

Ownership of creative assets and work product is governed as follows:

• Client-Owned Assets: Any brand assets, logos, photos, or content supplied by the client remain the sole property of the client.
• Produced Assets: Ad creatives, video edits, scripts, landing pages, and other deliverables produced by Socialmetaminds become the property of the client upon full and final payment for the relevant billing period.
• Proprietary Systems: Our internal frameworks, templates, SOPs, audience structures, and strategic methodologies remain the exclusive intellectual property of Socialmetaminds and are not transferred to the client.
• Portfolio Rights: Socialmetaminds reserves the right to use anonymised or approved campaign metrics, results, and creative samples in our portfolio, case studies, and marketing materials unless the client explicitly requests confidentiality in writing.

07 Confidentiality

Both parties agree to treat shared business information — including strategy, financials, audience data, pricing, and campaign performance — as confidential. This information shall not be disclosed to third parties without prior written consent from the respective party.

This obligation continues for 24 months after the termination of the engagement.

Exceptions apply where disclosure is required by law, a court order, or a regulatory authority.

08 Termination

By the Client: You may terminate the engagement at any time with a written notice of 15 days sent to hello@socialmetaminds.com. Services will continue through the end of the current billing cycle with no pro-rated refunds.

By Socialmetaminds: We reserve the right to terminate an engagement immediately if:

• The client fails to make payment within 10 business days of the due date
• The client engages in abusive, threatening, or unethical behaviour toward our team
• The client requests campaigns that violate Meta, Google, or Indian advertising laws
• Continuation of the engagement would compromise our professional or ethical standards

Upon termination by either party, Socialmetaminds will return all client-owned assets within 7 business days and remove agency access from all accounts.

09 Limitation of Liability

To the maximum extent permitted under applicable Indian law, Socialmetaminds shall not be liable for:

• Indirect, consequential, or incidental losses arising from our services or their outcomes
• Loss of revenue, profits, business opportunities, or data resulting from campaign performance
• Disruptions caused by third-party platform changes (Meta, Google algorithm updates, policy shifts)
• Losses caused by inaccurate or delayed information provided by the client
• Any outcome resulting from client-side delays in approvals, asset supply, or ad budget management

Our total aggregate liability in any circumstance shall not exceed the total fees paid by the client to Socialmetaminds in the 3 months preceding the date of the claim.

10 Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising from or relating to these Terms or the services provided by Socialmetaminds shall be subject to the exclusive jurisdiction of the courts located in Navi Mumbai, Maharashtra.

Both parties agree to first attempt resolution through direct communication before initiating formal legal proceedings.

11 Amendments

Socialmetaminds reserves the right to update these Terms at any time. Changes will be published on this page with a revised date. Continued engagement with our services after changes are published constitutes acceptance of the updated Terms.

For changes that materially affect active client engagements, we will provide notice via email with a minimum of 14 days' advance notice.
